By submitting an application for private Dealer pricing and/or by placing an order as a Dealer, Reseller, or Jobber, you agree to the following terms and conditions.  “Dealer” is used to refer equally to Dealers, Resellers, and Jobbers.

1. Dealer must be lawfully registered to do business in the state/province where Dealer is located.
    
2. The private Dealer price list is considered strictly confidential.  Dealer and its agents and employees will not disclose the price list or any information contained therein to any third party without the express written consent of Flex-a-lite.  Dealer will instruct its employees regarding the confidential nature of the price list and will institute appropriate measures to keep the price list confidential.  Any unauthorized distribution or dissemination of the price list may subject Dealer and/or the individual agent or employee to legal penalties.  This obligation will continue even if Dealer’s status as a Dealer is terminated.
    
3. Dealer agrees to keep its contact information current, including address, telephone number, email address, and contact name.
    
4. Upon request, Dealer agrees to provide any information deemed necessary to verify Dealer’s status, including resale tax form, sales tax exemption form, list of references, bank information, photograph of business location, copy of phone book advertisement, business letterhead, and/or business card.
    
5. Dealer agrees to pay Flex-a-lite in full for any items ordered.
    
6. Dealer’s authorization to access the private dealer pricing is unique to the individual business entity and is not transferable without the express written consent of Flex-a-lite.
    
7. Dealer understands that access to private dealer pricing does not constitute a license to use and/or display Flex-a-lite trademarks and/or copyrighted material without the express written permission of Flex-a-lite.
    
8. These terms and conditions may be changed at any time without notice to Dealer.  By submitting an order, Dealer agrees to be bound by the terms and conditions in effect at the time of the order.
